利用規約

有限会社モディスト (以下「弊社」といいます)は、その運営するサイトのサービス(以下「本サービス」といいます)の利用規約(以下「本規約」といいます)を以下の通り定めます。なお、本サービスを利用される方は、以下の条件にご承諾いただいたことになります。

Modiste Co., Ltd. (hereinafter referred to as “the Company”) establishes the following Terms of Service (hereinafter referred to as “the Terms”) for the services provided on its operated website (hereinafter referred to as “the Service”). By using the Service, users are deemed to have agreed to the following conditions.

第1章総則

第1条本規約の適用範囲及び変更

1. 本規約は本サービスの利用に関し、弊社および会員(第3条で定義します)を含む本サービス利用者(以下「利用者」といいます)に適用されるものとします。
2. 弊社は、利用者に事前の承諾を得ることなく、本規約を変更できるものとし、利用者はこれを承諾します。この変更は弊社が適当と判断する方法で利用者に通知するものとします。

第2条本サービスの利用

1. 利用者は、本規約および弊社が別途定めるルール等に従い、本サービスを利用するものとします。
2. 弊社は、利用者の事前の承諾を得ることなく、本サービスの内容を変更することができるものとします。
3. 利用者は、本サービスを通じて利用者が発信する情報につき一切の責任を負うものとし、弊社に迷惑または損害を与えないものとします。
4. 本サービスの利用に関連して、利用者が他の利用者あるいは第三者あるいは権利者に対して損害を与えた場合、または利用者が他の利用者あるいは第三者あるいは権利者と紛争を生じた場合、利用者は自己の費用と責任で解決するものとし、弊社に何等の迷惑または損害を与えないものとします。
5. 利用者が未成年者の場合、本サービスの利用については親権者の承諾を必要とします。
6. 利用者のプライバシーについては「プライバシーポリシー」に依拠するものとします。

第3条会員

会員とは、本規約を承認いただいた上、弊社所定の手続に従い会員登録を申請し、弊社がこれを承認した方をいいます。

第4条会員登録

1. 利用者は、本サービスの会員登録ページから弊社の指定する方法に従い会員登録申請を行うものとします。
2. 会員登録用の書式に、入会希望者ご自身に関する真実かつ正確なデータを入力し、当サイトに送信していただきます。その際、いかなる虚偽の申告も行わないものとします。
3. クレジットカードの登録を行なう場合は、ご本人名義のクレジットカードでなければならないものとします。
4. 弊社は第1項の申請に対し、登録確認メールを送信することにより申請を承認するものとします。
5. 弊社は、以下の各号のいずれかに該当する場合、当該登録申請を承認しない場合があります。
- ・入会希望者が過去に本規約違反をしたことなどにより、会員登録の抹消などの処分をうけていることが判明した場合
- ・入会希望者の申請内容に、虚偽の事項が含まれている場合
- ・その他登録申請を承認することが不適当であると弊社が判断する場合

第5条変更の届出

利用者は、住所、氏名、電話番号、クレジットカード番号、その他弊社に申告した事項に変更が生じた場合には、弊社が別途指示する方法により、すみやかに弊社に届出るものとします。

第6条本サービスの利用停止、会員登録の取消

弊社は、会員が本規約に違反した等の理由により、弊社が不適当と判断した会員について、会員に事前通知することなく本サービスの利用停止、または会員登録を抹消することができるものとします。

1. 過去に本規約違反をしたことなどにより会員登録の抹消などの処分を受けていることが判明した場合
2. 本サービスに関する料金などの支払債務の履行遅延、その他の不履行があった場合
3. 第10条(禁止事項)の行為を行った場合4.その他本規約に違反した場合

第7条 IDおよびパスワードの管理

1. 利用者は、会員自身で設定したユーザIDおよびパスワードの管理責任を負うものとします。
2. 利用者は、ユーザIDおよびパスワードを第三者に譲渡、貸与、開示してはならないものとします。
3. 利用者は、ユーザIDおよびパスワードの管理不十分、使用上の過誤、第三者の使用などに起因する損害につき自ら責任を負うものとします。
4. 利用者は、ユーザIDおよびパスワードが第三者によって不正に使用されていることが判明した場合には、直ちに弊社に連絡するものとします。
5. 利用者は、本サービス利用の際に行うクレジットカード番号の送信行為等の決済手段に伴う漏洩等の危険性を認識し、自己の責任の下にこれを行うものとします。(第13条に記載)

第8条利用者情報の利用

本サービスの利用に関連して弊社が知り得た会員を含む利用者の情報について、弊社は以下の各号に該当する場合を除き、第三者に開示または提供しないものとします。

1. 利用者が、自己の氏名、住所、性別、年齢、電子メールアドレスなどの開示に同意している場合
2. 弊社が本サービスの利用動向を把握する目的で収集した個人情報の統計を、個々の個人情報として特定できない形式で第三者に提供する場合
3. JavaScriptの使用。弊社では、JavaScriptを使用しているページがございます。お使いのブラウザでJavaScriptを無効にされている場合には、正しく機能しない、もしくは正しく表示されないことがございます。お買い物を楽しんでいただくために、JavaScriptを有効にしてください。(携帯用サイトではJavaScriptは使用しておりません。)
4. アクセスログ、クッキー、携帯端末の機体識別情報。弊社では、最適なサービスをご提供するために、アクセスログやクッキー(cookie)の技術、携帯端末の機体識別情報を使用して、アクセス履歴等に関する情報を収集しております。
- (1) アクセスログ
  お客様が当サイトで操作された情報の一部をアクセスログとして記録しております。こちらは今後のサイトの利便性向上のためや、万一問題が発生した際の原因追及、またご利用状況に関する分析などに使用するために取得しております。アクセスログを、これ以外の目的に利用することはありません。
- (2) クッキー(Cookie)
  「Cookie情報」とは、お客様が当社のウェブサイトを再度訪問されたときなどに、より便利にご利用いただくため(カートやお気に入りリストの情報を保管する機能などを提供)、お客様がご使用のコンピュータを識別するデータのことです。お客様がご使用になるインターネット閲覧ソフト(ブラウザ)の設定を変更することにより、Cookieを拒否するように設定することもできますが、その場合当社ウェブサイト、またはウェブサイトにおけるサービスを正常にご利用頂けない場合がございますので、予めご了承ください。
- (3) Webビーコンについて
  当社のウェブサイトには、Webビーコン(「クリアGIF」と呼ばれることもあります。)を使用しているページがあります。Webビーコンとは、特定のページに何回のアクセスが行われたかを知るための技術のことです。当社はウェブサイトの利用状況に関する統計をとり、ウェブページをはじめ、製品やサービスをより良いものに改善することを目的としてWebビーコンを使用しています。Webビーコンを用いて取得された情報には、個人を特定するような情報は一切含まれておりません。
- (4) 携帯端末の機体識別番号
  携帯電話の機体識別番号とは、ランダムな英数字等の組み合わせにより構成された携帯端末を区別する番号で、お客様が当社の携帯用ウェブサイトを訪問された際のアクセス管理などに利用しております。機体識別番号には、携帯電話番号やメールアドレス、氏名など、お客様のプライバシーに関する情報は一切含まれておりません。また、機体識別番号のみではお客様個人を特定する事はできません。
5. その他、本サービスの運営に必要な場合

第2章サービスの利用

第9条サービスの範囲

1. 利用者は本サービスの提供するさまざまなサービスを利用できるものとします。なお、会員以外の利用者は、一部ご利用できないサービスがあります。
2. 利用できるサービスの範囲については別途定めるものとします。
3. 弊社は、利用できるサービスの範囲を、利用者に事前の承認を得ることなく変更することができるものとします。

第10条禁止事項

第10条禁止事項利用者は本サービスを利用するにあたり、以下の行為を行ってはならないものとします

1. ご利用の際に虚偽の登録内容を申請する行為
2. 本サービスの運営を妨げる行為、その他本サービスに支障をきたすおそれのある行為
3. クレジットカードを不正使用して本サービスを利用する行為
4. ユーザIDおよびパスワードを不正に使用する行為
5. 他の利用者、第三者もしくは弊社に迷惑、不利益もしくは損害を与える行為、またはそれらのおそれのある行為
6. 他の利用者、第三者もしくは弊社の著作権、プライバシーその他の権利を侵害する行為、またはそれらのおそれのある行為
7. 公序良俗に反する行為、その他法令に違反する行為、またはそれらのおそれのある行為
8. 弊社もしくは本サービスに関する情報、または本サービスを通じて提供される情報を改ざんする行為
9. 有害なコンピュータープログラム等を送信または書き込む行為
10. その他、弊社が不適当と判断する行為。

第11条著作権

1. 利用者は、本サービスを通じて提供されるいかなる情報も、権利者の許諾を得ないで、著作権法で認められる個人の私的複製等著作権の制限規定範囲外での使用をすることはできません。
2. 本条の規定に違反して問題が生じた場合、利用者は自己の責任と費用においてかかる問題を解決するとともに、弊社に何等の迷惑または損害を与えないものとします。

第3章商品の販売サービス

第12条商品の購入

1. 利用者は、本サービスを利用して、弊社から商品を購入することができます。
2. 利用者が商品の購入を希望する場合、会員様が弊社の指定する方法に従って申込み、弊社がこれを承諾する旨の電子メールを会員様宛に発信した時点で、会員様と弊社との間に当該商品に関する売買契約が成立するものとします。ただし、会員様指定のクレジットカード会社から不履行の旨の連絡があった場合はこの限りではありません。
3. 前条の規定に関らず、本サービス利用に関して不正行為または不適当な行為があった場合、弊社は売買契約を取消もしくは解除、その他適切な措置を取ることができるものとします。
4. 本サービスによる商品の配送は日本国に限ります。

第13条決済方法

1. 商品等のお支払い金額は、消費税を含む商品購入代金、送料、代引き手数料の合計となります。
2. 本サービスによって購入された商品等のお支払いに関しては、利用者本人名義のクレジットカードによるお支払い、および弊社が別途認めるお支払い方法によるものとします。
3. クレジットカードでのお支払いの場合は、利用者がカード会社との間で別途契約する条件に従うものとします。なお、利用者と当該クレジットカード会社等の間で紛争が発生した場合は、当該当事者双方で解決するものとします。

第14条商品の返品

1. 商品の返品は、配送中の破損、商品の暇疵、商品発送間違い、その他弊社が別途認める場合に限ります。
2. 前項に定める商品の返品と、これに伴う商品の交換又は交換できない場合の売買契約の解除は、会員様が商品を受領後8日間以内に行うものとします。
3. 会員様は、前項の返品を、弊社が別途定める方法に従い行うものとします。

第15条免責事項、その他

1. 弊社は、会員様が本サービスをご利用になれなかったことにより発生した一切の損害について、いかなる責任も負わないものとします。
2. 会員様は本サービスを通じてご自身が発信する情報につき一切の責任を負い、弊社はその責任を負いません。
3. 弊社は、会員様の登録内容に従い事務を処理します。配送先不明等によるトラブルについては、商品購入時指示された送付先に商品を配送し、かつ会員が登録している連絡先へ連絡することにより免責されるものとします。
4. 会員様が本サービスの利用に関して第三者に対し損害を与え、または第三者との間で紛争を生じさせた場合、会員様自身が自己の費用と責任で解決するものとし、弊社はその責任を負いません。
5. 会員様は、弊社が事前に会員様の承諾を得ることなく本ルールを変更できること、及び変更の内容は弊社が適当と判断する方法で会員様に通知すれば足りることを、あらかじめ承諾したものとします。
6. 未成年の方は、あらかじめ親権者の承諾を得なければご利用いただけません。
7. クレジットカードの登録を行なう場合は、ご本人名義のクレジットカードに限ります。
8. 弊社と会員様との連絡方法は、原則としてE-Mailとします。
9. 本サービスの利用に関して訴訟の必要が発生した場合には、東京地方裁判所を第一審の専属管轄裁判所とします。

第4章本サービスの運用

第16条情報の管理

弊社は、利用者が弊社が利用する事を承諾した上で発信したコメントその他の情報について弊社が利用可能と判断した場合は、利用者に断りなく本サービスにおいて利用できるものとし、次の各号の一つにでも該当する場合には、利用者に断りなくこれを削除することができるものとします。

1. 当該情報が弊社もしくは第三者の著作権その他の権利を明らかに侵害し、または弊社もしくは第三者の名誉もしくは信用を明らかに棄損していると認められた場合
2. 当該情報が第三者の著作権その他の権利を侵害し、または第三者の名誉もしくは信用を毀損しているとの警告を、弊社が当該第三者から受取った場合
3. 日本または適用ある外国の法令に明らかに違反していると認められた場合 4. 官公庁から削除するよう命令を受けた場合

第17条本サービスの保守

弊社は、本サービスの稼動状態を良好に保つために、次のような場合利用者に事前に通知、承諾なく本サービスの提供の全部あるいは一部を変更・追加または停止および中止することができるものとします。万が一、サービスが中止、変更等されたことにより利用者が被った損害について、弊社は責任を負わないものとします。

1. システムの定期保守および緊急保守の場合
2. 火災、停電、第三者による妨害行為等により、システムの運用が困難になった場合
3. その他、止むを得ずシステムの停止が必要と弊社が判断した場合

第18条その他免責事項

1. 弊社は、利用者が本サービスをご利用になれなかったことにより発生した一切の損害について、いかなる責任も負わないものとします。
2. 弊社は、利用者の登録内容に従い事務を処理することにより免責されるものとします。
3. 利用者が、本サービスをご利用になることにより、他の利用者または第三者に対して損害等を与えた場合には、当該利用者は自己の責任と費用において解決し、弊社には一切迷惑を与えないものとします。
4. 弊社は、配送先不明等によるトラブルに関しては、会員が登録している連絡先へ連絡すること、および商品購入の際指示した送付先に商品を配送等することにより免責されるものとします。

第19条その他

1. 弊社と利用者との連絡方法は、原則として電子メールによるものとします。
2. 本サービスのご利用に関して、本利用規約または弊社の指導により解決できない問題が生じた場合には、弊社と利用者との間で双方誠意をもって話し合い、これを解決するものとします。

本サービスの利用に関して訴訟の必要が発生した場合には、東京地方裁判所を第一審の専属管轄裁判所といたします。付則:この規約は2016年4月1日からすべての会員に適用されます。

Chapter 1: General Provisions

Article 1: Scope and Modification of the Terms

1. These Terms apply to the use of the Service by the Company and users, including members (as defined in Article 3) (hereinafter collectively referred to as “Users”).
2. The Company may modify these Terms without prior consent from Users, and Users are deemed to accept such modifications. The Company will notify Users of such changes in a manner it deems appropriate.

Article 2: Use of this Service

1. Users shall use the Service in accordance with these Terms and any other rules separately established by the Company.
2. The Company may modify the content of the Service without prior consent from Users.
3. Users shall bear full responsibility for any information they transmit through the Service and shall not cause any inconvenience or damage to the Company.
4. If a User causes damage to another User, a third party, or a rights holder, or if a dispute arises between a User and another User, a third party, or a rights holder in connection with the use of the Service, the User shall resolve the matter at their own expense and responsibility and shall not cause any inconvenience or damage to the Company.
5. If a User is a minor, parental consent is required for the use of the Service.
6. The privacy of Users shall be governed by the “Privacy Policy.”

Article 3: Members

A “Member” refers to an individual who has agreed to these Terms, applied for membership registration through the procedures prescribed by the Company, and has been approved by the Company.

Article 4: Membership Registration

1. Users shall apply for membership registration through the membership registration page of the Service in the manner specified by the Company.
2. Applicants must enter true and accurate information about themselves in the membership registration form and submit it to the website. False declarations are strictly prohibited.
3. If registering a credit card, the credit card must be in the applicant’s name.
4. The Company shall approve the application by sending a registration confirmation email.
The Company may reject a registration application if any of the following applies:
- ・If it is found that the applicant has previously violated these Terms and has been subject to measures such as membership cancellation.
- ・If the application contains false information.
- ・If the Company deems the registration application inappropriate for any other reason.

Article 5: Notification of Changes

Users must promptly notify the Company of any changes to their address, name, phone number, credit card number, or other information declared to the Company, using the method specified by the Company.

Article 6: Suspension of Service Use and Cancellation of Membership

The Company may suspend the use of the Service or cancel a member’s registration without prior notice if the member violates these Terms or if the Company deems the member’s actions inappropriate.

1. If it is found that the member has previously violated these Terms and has been subject to measures such as membership cancellation.
2. If there is a delay in payment of fees related to the Service or other non-performance of obligations.
3. If the member engages in any of the prohibited acts listed in Article 10 (Prohibited Acts).
4. If the member violates any other provision of these Terms.

Article 7: Management of ID and Password

1. Users are responsible for managing the user ID and password they have set.
2. Users must not transfer, lend, or disclose their user ID and password to any third party.
3. Users are responsible for any damages caused by inadequate management of their user ID and password, errors in use, or use by a third party.
4. If a User discovers that their user ID and password are being used fraudulently by a third party, they must immediately notify the Company.
5. Users acknowledge the risks associated with transmitting credit card numbers or other payment information when using the Service and undertake such actions at their own responsibility. (See Article 13 for details.)

Article 8: Use of User Information

The Company will not disclose or provide to third parties any information about Users, including members, obtained in connection with the use of the Service, except in the following cases:

1. When the User has consented to the disclosure of their name, address, gender, age, email address, or other information.
2. When the Company provides statistical data on personal information collected to understand usage trends of the Service to third parties in a form that does not identify individual personal information.
3. Use of JavaScript: Some pages on the Company’s website use JavaScript. If JavaScript is disabled in your browser, the website may not function or display correctly. To enjoy your shopping experience, please enable JavaScript. (JavaScript is not used on the mobile site.)
4. Access Logs, Cookies, and Mobile Device Identification Information: To provide optimal service, the Company uses access logs, cookie technology, and mobile device identification information to collect information about access history, etc.
- (1) Access Logs
  The Company records some of the information about your actions on the website as access logs. These logs are collected to improve the convenience of the website, investigate the cause of any issues that may arise, and analyze usage trends. Access logs will not be used for any other purpose.
- (2) Cookies
  “Cookie information” refers to data that identifies your computer to make it more convenient for you to use the website when you revisit it (e.g., by storing cart or favorite list information). You can set your internet browser to reject cookies, but please note that this may prevent you from using the Company’s website or services properly.
- (3) Web Beacons
  Some pages on the Company's website use web beacons (also known as “clear GIFs|). Web beacons are used to track how many times a specific page has been accessed. The Company uses web beacons to gather statistics on website usage and to improve web pages, products, and services. Information collected through web beacons does not include any personally identifiable information.
- (4) Mobile Device Identification Numbers
  Mobile device identification numbers are randomly generated alphanumeric codes used to distinguish mobile devices. They are used for access management when you visit the Company’s mobile website. These numbers do not contain any private information such as phone numbers, email addresses, or names. Additionally, identification numbers alone cannot be used to identify individual users.
5. Other cases necessary for the operation of the Service.

Chapter 2: Use of the Service

Article 9: Scope of the Service

1. Users may use the various services provided by the Service. However, non-member Users may not be able to access some services.
2. The scope of available services will be determined separately.
3. The Company may change the scope of available services without prior approval from Users.

Article 10: Prohibited Acts

When using the Service, Users are prohibited from engaging in the following acts:

1. Submitting false registration information when using the Service.
2. Acts that interfere with the operation of the Service or may cause disruption to the Service.
3. Using the Service through fraudulent use of a credit card.
4. Unauthorized use of a User ID or password.
5. Acts that cause inconvenience, disadvantage, or damage to other Users, third parties, or the Company, or acts that may result in such consequences.
6. Acts that infringe on the copyrights, privacy, or other rights of other Users, third parties, or the Company, or acts that may result in such infringement.
7. Acts that violate public order and morals, other laws and regulations, or acts that may result in such violations.
8. Acts that falsify information related to the Company or the Service, or information provided through the Service.
9. Transmitting or posting harmful computer programs or similar content.
10. Any other acts deemed inappropriate by the Company.

Article 11: Copyright

1. Users may not use any information provided through the Service beyond the scope permitted under copyright law (e.g., personal private copying) without the consent of the rights holder.
2. If a problem arises due to a violation of this provision, the User shall resolve the issue at their own expense and responsibility and shall not cause any inconvenience or damage to the Company.

Chapter 3: Product Sales Service

Article 12: Purchase of Products

1. Users may purchase products from the Company using the Service.
2. When a User wishes to purchase a product, a sales contract for the product is formed between the Member and the Company at the time the Company sends an email to the Member confirming acceptance of the order, in accordance with the method specified by the Company. However, this does not apply if the Member’s designated credit card company notifies the Company of non-payment.
3. Notwithstanding the above, if fraudulent or inappropriate acts are found in connection with the use of the Service, the Company may cancel or terminate the sales contract or take other appropriate measures.
4. Product delivery through the Service is limited to Japan.

Article 13: Payment Methods

1. The total payment amount for products includes the product price (including consumption tax), shipping fees, and cash-on-delivery fees.
2. Payment for products purchased through the Service shall be made using a credit card in the User’s name or by other payment methods approved by the Company.
3. For credit card payments, the User shall comply with the terms separately agreed upon with the credit card company. If a dispute arises between the User and the credit card company, it shall be resolved between the parties involved.

Article 14: Product Returns

1. Returns are limited to cases of damage during delivery, product defects, incorrect product shipments, or other cases separately approved by the Company.
2. Returns under the above provision, as well as product exchanges or cancellation of the sales contract if an exchange is not possible, must be made within 8 days of the Member receiving the product.
3. The Member shall follow the method specified by the Company for returns.

Article 15: Disclaimers and Other Provisions

1. The Company shall not be liable for any damages incurred by the Member due to inability to use the Service.
2. The Member is solely responsible for any information they transmit through the Service, and the Company shall not be liable for such information.
3. The Company will process transactions based on the Member's registered information. The Company shall be exempt from liability for issues such as undeliverable addresses by delivering the product to the address specified at the time of purchase and contacting the Member at their registered contact information.
4. If the Member causes damage to a third party or a dispute arises with a third party in connection with the use of the Service, the Member shall resolve the matter at their own expense and responsibility, and the Company shall not be liable.
5. The Member agrees in advance that the Company may modify these rules without prior consent and that notification of such changes will be made in a manner deemed appropriate by the Company.
6. Minors may not use the Service without prior consent from a parent or guardian.
7. Credit card registration must be in the User’s name.
8. Communication between the Company and the Member shall primarily be conducted via email.
9. If litigation arises in connection with the use of the Service, the Tokyo District Court shall be the exclusive court of first instance.

Chapter 4: Operation of the Service

Article 16: Management of Information

The Company may use comments or other information transmitted by Users, provided the Users have consented to such use, on the Service without prior notice. Additionally, the Company may delete such information without notice if any of the following applies:

1. If the information is found to clearly infringe on the copyrights or other rights of the Company or a third party, or clearly damages the reputation or credibility of the Company or a third party.
2. If the Company receives a warning from a third party that the information infringes on their copyrights or other rights or damages their reputation or credibility.
3. If the information is found to clearly violate Japanese or applicable foreign laws and regulations.
4. If the Company receives an order from a government agency to delete the information.

Article 17: Maintenance of the Service

The Company may change, add, suspend, or discontinue all or part of the Service without prior notice or consent from Users in order to maintain the proper functioning of the Service. The Company shall not be liable for any damages incurred by Users due to the suspension, modification, or discontinuation of the Service.

1. In cases of regular or emergency system maintenance.
2. In cases where system operation becomes difficult due to fire, power outages, interference by third parties, or similar events.
3. In other cases where the Company deems it necessary to suspend the system unavoidably.

Article 18: Other Disclaimers

1. The Company shall not be liable for any damages incurred by Users due to their inability to use the Service.
2. The Company shall be exempt from liability by processing transactions based on the User’s registered information.
3. If a User causes damage to another User or a third party through the use of the Service, the User shall resolve the matter at their own expense and responsibility and shall not cause any inconvenience to the Company.
4. The Company shall be exempt from liability for issues such as undeliverable addresses by contacting the Member at their registered contact information and delivering the product to the address specified at the time of purchase.

Article 19: Miscellaneous

1. Communication between the Company and the User shall primarily be conducted via email.
2. If any issues arise in connection with the use of the Service that cannot be resolved through these Terms of Use or the Company’s guidance, the Company and the User shall resolve the matter through good-faith discussions.
3. If litigation arises in connection with the use of the Service, the Tokyo District Court shall be the exclusive court of first instance.

Supplementary Provisions: These Terms shall apply to all Members from April 1, 2016.
